Charles B. Elliott: "The Principles of the Law of Private Corporations -- With Leading and Illustrative Cases" (2d ed. 1895).

In 1893, Charles Burke Elliott was a Minneapolis Municipal Court Judge. He also lectured at the University of Minnesota College of Law, and had prepared an "Outline of Lectures on the Law of Private Corporations" for use by his students. That year he published a textbook, The Principles of the Law of Private Corporations, which must have impressed William S. Pattee, Dean of the College, because in in 1894, he named Elliott head of the Department of Corporations and International Law.

Elliott's book was revised and reissued in three more editions, the fourth in 1911. The second edition, titled The Principles of the Law of Private Corporations -- With Leading and Illustrative Cases, was published in 1895 by the Goodyear Book Company of Minneapolis. It is posted here. The dedication page has this Latin phrase: Cupidae Legum Juventuti, which translates (roughly) to Eager Young Lawyer.

In a Preface Judge Elliott lists some of the authorities he relied upon and recommends for students and practitioners. It too is recommended.
